Ams : receives EU regulatory approval for OSRAM acquisition; expected closing of transaction on 9 July 2020

Premstaetten, Austria (6 July 2020) -- ams (SIX: AMS), a leading worldwide supplier of high performance sensor solutions, announces that it has today received unconditional regulatory approval from the EU commission for the acquisition of OSRAM Licht AG (OSRAM).

The EU regulatory approval constituted the last remaining condition precedent for closing the transaction which is now fulfilled. ams therefore expects the payment of the offer price to the holders of the tendered shares and the closing of the takeover offer on 9 July 2020. Following the closing, ams will hold 69% of all shares in OSRAM (excluding treasury shares).

Die Genehmigung der EU-Kommission stellte die letzte verbleibende aufschiebende Bedingung für den Vollzug der Transaktion dar, welche nun erfüllt ist. ams erwartet daher die Zahlung des Angebotspreises an die Inhaber der angedienten Aktien sowie den Vollzug des Übernahmeangebotes am 9. Juli 2020. Nach dem Vollzug wird ams 69% aller Aktien von OSRAM halten (exkl. gehaltene eigene Aktien).
