Millionen und bis zu CHF 110 Millionen Nennwert ihrer ausstehenden Wandelanleihen mit Fälligkeit 2022 an

Basel, Schweiz, 25. Juni 2020

Basilea Pharmaceutica AG (SIX: BSLN, die "Anbieterin") gibt die Veröffentlichung eines teilweisen Rückkaufangebots über mindestens CHF 90 Millionen und bis zu CHF 110 Millionen Nennwert ihrer ausstehenden Wandelanleihe mit Fälligkeit 2022 (das "Rückkaufsangebot") bekannt. Der Preis des Rückkaufangebots beläuft sich auf 100.50 % des Nennwerts zuzüglich aufgelaufener und nicht bezahlter Zinsen. Die Stillhalteperiode, während der keine Angebote angenommen werden, beginnt am 26. Juni 2020 und endet am 9. Juli 2020. Die Rückkaufangebotsfrist beginnt voraussichtlich am 10. Juli 2020 und endet am 16. Juli 2020 um 16.00 Uhr MESZ. Der Zahlungstermin wird voraussichtlich auf den 28. Juli 2020 fallen. Die Anleihe ist an der SIX Swiss Exchange (ISIN: CH0305398148; SSN: 30'539'814) kotiert und wird dort gehandelt (die "Anleihe" und jeder einzelne Titel die "Wandelobligation").

Das Übernahmeangebot wird nach der gestrigen erfolgreichen Lancierung des provisorischen Angebots und der Preisfestsetzung für vorrangige ungesicherte Wandelanleihen in Höhe von CHF 125 Millionen mit Fälligkeit 2027 (die "Neuen Anleihe") unterbreitet. Die Neuen Anleihe dient der Finanzierung des Rückkaufsangebots. Die Neuen Anleihe ist noch nicht endgültig zugeteilt und eine solche Zuteilung wird vom Erfolg des Rückkaufs im Rahmen des Rückkaufangebots abhängen. Abhängig vom Nennwert der im Rückkaufangebot angedienten Anleihe kann die Anbieterin Neue Anleihen bis zu einem Betrag von bis zu CHF 25 Millionen zurücknehmen. Darüber hinaus wird der Wandlungspreis der Neuen Anleihen erst in einer Delta-Platzierung bestehender Aktien der Anbieterin nach Ablauf der Angebotsfrist des Rückkaufangebots festgelegt. Das Rückkaufangebot steht daher unter den folgenden Vorbehalten:

* die Delta-Platzierung führt zu einem Referenzpreis, d.h. zu dem Preis, zu dem die Wandelprämie addiert wird, um den Wandelpreis zu erhalten; und

* der Wandlungspreis der Neuen Anleihe beträgt mindestens 46.9993 CHF; und

* die Neue Anleihe wird im Umfang von minimal CHF 100'000'000 nominal platziert und mindestens CHF 90'000'000 Nominalwert der Wandelanleihe werden gültig angedient.

Die Gesellschaft akzeptiert nur Wandelobligationen zum Kauf bis zu einem Höchstbetrag des Gesamtnennbetrags, der dem niedrigeren der folgenden Beträge entspricht: (i) CHF 110'000'000 und (ii) dem Gesamtnennwert der Neuen Anleihe minus 10'000'000 CHF.

Bis zu CHF 110 Millionen der 2022 fälligen Anleihe werden zurückgekauft und bis zu CHF 125 Millionen der 2027 fälligen Neuen Anleihe werden verkauft, um der Anbieterin die Möglichkeit zu geben, ihr Fälligkeitsprofil des Fremdkapitals zu verbessern. Während die Transaktion den Gesamtbetrag des ausstehenden Fremdkapitals der Anbieterin nicht wesentlich verändert, verschiebt sie die Fälligkeit von etwa 50 % des gesamten ausstehenden Freundkapital deutlich über 2022 hinaus.
