Cosmo Pharmaceuticals gibt Anpassung der Investitions-Vereinbarung mit Acacia
bekannt

Dublin, Irland - 15. Dezember 2020: Cosmo Pharmaceuticals N.V. (SIX: COPN)
gab heute bekannt, dass Acacia Pharma Group plc ("Acacia") (EURONEXT: ACPH) und
Cosmo am 14. Dezember 2020 eine Änderungs-Vereinbarung (die
"Änderungsvereinbarung") abgeschlossen haben, bei der es sich um eine Anpassung
der Investitions-Vereinbarung vom 10. Januar 2020 zwischen den beiden Parteien
handelt. Darin haben Acacia und Cosmo vereinbart, dass Acacia im Gegenzug
dafür, dass Cosmo die Verpackungs- und Etiketten-Produktion für BYFAVOTM für
die Lieferung in die USA priorisiert, die beim ersten kommerziellen Verkauf von
BYFAVOTM fällige Zahlung in Höhe von EUR 5 Mio. bereits vor dem ersten
kommerziellen Verkauf und spätestens bis zum 31. Dezember 2020 leistet.
 
Acacia Pharma bereitet die Einführung von BYFAVOTM in den USA in den kommenden
Wochen vor.
 
Die Zahlung erfolgt durch die Ausgabe neuer Stammaktien am Grundkapital der
Gesellschaft (die "Neuen Stammaktien") an Cosmo zu einem Ausgabepreis von je
2,38 Euro (dies entspricht dem volumengewichteten 15-Tages-Durchschnittskurs der
Aktien der Gesellschaft vor dem Datum der Änderungs-Vereinbarung). Die
Notierung und Handelszulassung der Neuen Stammaktien an der Euronext Brüssel
bleibt gemäss der Investitionsvereinbarung davon abhängig, dass die
erforderlichen aufsichtsrechtlichen Genehmigungen von der FCA und der belgischen
FSMA erteilt werden.
 
Die Neuen Stammaktien werden in jeder Hinsicht gleichrangig mit den bestehenden
Stammaktien des Unternehmens sein. Nach Erhalt der Neuen Stammaktien wird sich
die Beteiligung von Cosmo an Acacia von 20,52% auf ca. 21,88% erhöhen.
 
BYFAVOTM wurde von der US-amerikanischen Food and Drug Administration (FDA) am
2. Juli 2020 für die Einleitung und Aufrechterhaltung einer Kurzsedierung bei
Erwachsenen, die sich einem bis zu 30-minütigen Eingriff unterziehen,
zugelassen. Das Produkt erhielt am 5. Oktober 2020 von der US Drug Enforcement
Administration (DEA) die Schedule IV Designation.
 
Die terminlichen Vorgaben der DEA zwischen Juli und Oktober dieses Jahres
verzögerten die endgültige Genehmigung und Fertigstellung des BYFAVOTM-Labels,
was Acacia Pharma dazu veranlasste, Cosmo zu bitten, den Zeitplan für die
BYFAVOTM-Verarbeitung zu priorisieren - dies in einer Zeit, in der die
Produktions-Anlagen üblicherweise geschlossen wären. Die Vereinbarung zur
Änderung des Zeitplans für die Zahlung wurde als Gegenleistung dafür
getroffen, dass Cosmo seinen Produktionsplan modifiziert und seine Verpackungs-
und Etikettenproduktion für BYFAVOTM beschleunigt.
 
Damit belaufen sich die Meilensteinzahlungen, die Cosmo im Jahr 2020 aufgrund
der Unterlizenzierung seiner US-Rechte an BYFAVOTM an Acacia erhält, auf
insgesamt EUR 45 Mio. Zusätzlich werden beim Erreichen weiterer kommerzieller
Meilensteine für BYFAVOTMweitere Zahlungen in Höhen von USD 105 Mio. von
Acacia an Cosmo fällig.
