Luzern, 22. Dezember 2020 - Wie bereits bekanntgegeben, haben die Aktionärinnen
und Aktionäre der Swiss Steel Holding AG an der heutigen Generalversammlung dem
Antrag des Verwaltungsrates mit 66,85 % der vertretenen Stimmen zugestimmt, das
Aktienkapital von aktuell CHF 304'249'999,95 um CHF 154'578'620,70 auf CHF
458'828'620,65 durch die Ausgabe von 1'030'524'138 neuen Namenaktien mit einem
Nennwert von je CHF 0,15 zu erhöhen. Die Kapitalerhöhung soll in der zweiten
Januarhälfte 2021 vollzogen werden.
Im Nachgang zur heutigen Generalversammlung wurde Swiss Steel Holding darüber
informiert, dass Liwet Holding AG beim Handelsregisteramt des Kantons Luzern
eine Sperre für die Eintragung der Kapitalerhöhung erwirkt hat. Die
Handelsregistersperre wird auf einseitigen Antrag gewährt. Der Antrag muss
nicht begründet sein und es findet keine materielle Prüfung durch das
Handelsregister statt. Für die Liwet Holding AG läuft nun eine Frist von 10
Tagen, um beim zuständigen Gericht eine begründete vorsorgliche Massnahme zu
beantragen. Das Vorgehen der Liwet Holding AG entbehrt jeder Grundlage und
widerspricht den Interessen der Swiss Steel Holding AG und ihrer weiteren
Aktionäre und Mitarbeitenden. Swiss Steel Holding AG hält an der
Kapitalerhöhung fest und wird sich mit allen Mitteln gegen das
verantwortungslose Vorgehen der Liwet Holding AG und ihrer Vertreter zur Wehr
setzen.
