Composition of Board

With letter of today, Mr Alexander Rothmund has declared his resignation from the

Board with immediate effect, for personal reasons.

In line with the recently announced candidates for election onto the Board of Directors, the Board will be proposing to an upcoming meeting of shareholders the election of Mr Alessandro Vangelista who has a deep knowledge of the Italian hydropower sector as senior financial analyst. The CV of Mr Vangelista is attached hereto.

Born in Padua in 1973, he graduated in Economia Aziendale (Business Administration) from

the Ca'Foscari University of Venice in 1998 and attended a Master in Business Administration

at C.U.O.A. (Vicenza) in 1999.

He has been registered with the Order of Chartered Accountants in Padua and the Order of Accounts Auditors since 2012.

From 1999 to 2000 he worked as business analyst in Infostrada S.p.A. in Milan (Tlc Company) focusing on strategic marketing, and then he joined Ernst & Young Financial and Business Advisors in Padua, managing projects of:
· Financial position analysis and strategy planning for company development (US
branch of an Italian Client (Fashion Industry));
· Marketing Engineering activities: redefining corporate strategies, BPR activities,
operative implementation of strategic choices;
· M&A operations, buy-side and sell-side (fashion industry in Italy and retail industry in Russia);
· Development of corporate business and financial plans (focus on customers in a
technological and distribution framework) and search for strategic/financial partners
in the Italian market and abroad
· Business Plan Review activities as independent auditor for companies preparing for
listing on the stock exchange (Chemical Industry and Real Estate Market)
· Audit of corporate investment procedures for the energy sector
· Working Capital Management activities: payable and receivable analysis, cash
conversion cycle optimization;
· Financial Restructuring: implementation of debt restructuring operations, deals with
banks.

In 2008 he founded Vangelista & Partners, a boutique specialized in Corporate Finance, which operates along with a selected number of business partners. He has managed important business turnaround and debt restructuring operations, business plan activities (particular focus in oil & gas industry and renewables sector) and M&A projects in Italy, Germany and Switzerland.

He works as business advisor to private enterprises, acting also as statutory auditor in

industrial and commercial enterprises.

He is also a member of Business Commission at the Order of Chartered Accountants in Padua

and teacher of Business Planning at the Executive MBA of C.U.O.A. in Italy.
